1. Services Provided

Highly Favored Digital LLC provides digital marketing tools, CRM software, AI-automated communication tools, Payments and consulting services. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

2. Subscription and Billing

Fees: You agree to pay all subscription fees associated with your selected plan. Fees are non-refundable unless otherwise stated.

Cancellations: You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of the current billing cycle.

Failed Payments: We reserve the right to suspend access to the Service if payments are not made on time.

3. Use of AI and Automation Tools

Our Service includes Artificial Intelligence (AI) voice and messaging features.

Compliance Responsibility: You are solely responsible for ensuring that your use of our AI tools to contact your leads complies with the Telephone Consumer Protection Act (TCPA) and local "Do Not Call" registries.

Prohibited Content: You may not use our AI or SMS tools to transmit "SHAFT" content (Sex, Hate, Alcohol, Firearms, Tobacco) or any illegal, defamatory, or predatory content.

4. A2P 10DLC & Messaging Rules

Opt-In Requirements: You agree to only send SMS messages to individuals who have provided "prior express written consent."

Carrier Compliance: You must comply with all mobile carrier requirements. Highly Favored Digital LLC is not responsible for messages blocked by carriers due to your failure to register your A2P 10DLC Brand or for sending non-compliant content.

5. Account Ownership and Data

Your Data: You retain all rights to the lead data and content you upload to the platform.

Our Intellectual Property: Highly Favored Digital LLC owns all rights to our proprietary "Snapshots," workflows, AI prompts, and custom-coded elements provided within the platform. You are granted a limited license to use these during your active subscription.

6. Limitation of Liability

To the maximum extent permitted by law, Highly Favored Digital LLC shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from:

Software downtime or technical glitches.

Legal action taken against you for improper use of SMS or AI-calling tools.

The accuracy of AI-generated responses.

7. No Guarantees

While we provide tools designed to help grow your business, we do not guarantee specific financial results, lead volume, or "deliverability" rates for email and SMS, as these are subject to third-party (Google, Microsoft, Mobile Carriers) algorithms and regulations.

8. Termination

We reserve the right to terminate your account immediately, without notice, if we determine you have violated these Terms, engaged in spamming, or if your actions jeopardize our standing with telecommunication providers.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State, e.g., Georgia], without regard to its conflict of law provisions.
